Legal Agreement

Consequential Damages Exclusion

Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

Maximum Liability

In no event shall CodeCraft's total liability to you for all damages, losses, and causes of action exceed the amount paid by you, if any, for accessing or using our services during the twelve months preceding the event giving rise to the liability, or €100, whichever is greater.

Indemnification

You agree to indemnify, defend, and hold harmless CodeCraft, its subsidiaries, affiliates, officers, directors, employees, agents, licensors, and suppliers from and against any claims, actions, demands, liabilities, judgments, losses, damages, costs, and expenses, including reasonable attorneys' fees, arising out of or related to:

CodeCraft shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including but not limited to:

  • Government actions or regulations
  • Pandemics or public health emergencies
  • Internet service provider failures
  • Power outages or equipment failures
  • Labor disputes or strikes
  • Cyber attacks or security breaches

Dispute Resolution

Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of the Republic of Cyprus, without regard to its conflict of law principles.

Jurisdiction

You agree that any legal action or proceeding arising out of or related to these terms shall be brought exclusively in the courts located in Nicosia, Cyprus. You consent to the personal jurisdiction of such courts and waive any objection to venue.

Dispute Resolution Process

In the event of any dispute, controversy, or claim arising out of or relating to these terms, the parties agree to first attempt to resolve the matter through good faith negotiations.

If the dispute cannot be resolved through negotiation within 30 days, either party may pursue legal remedies in accordance with the jurisdiction provisions outlined above.

Severability

If any provision of these Terms and Conditions is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable. If such modification is not possible, the provision shall be severed from these terms. The invalidity or unenforceability of any provision shall not affect the validity or enforceability of the remaining provisions.

Waiver

No waiver of any term or condition set forth in these Terms and Conditions shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any failure by CodeCraft to assert a right or provision under these terms shall not constitute a waiver of such right or provision.

Entire Agreement

These Terms and Conditions, together with our Privacy Policy and any other legal notices published by us on our website, constitute the entire agreement between you and CodeCraft concerning your use of our services.

These terms supersede all prior or contemporaneous communications and proposals, whether oral or written, between you and CodeCraft regarding the subject matter covered by these terms.

Assignment

You may not assign, transfer, or delegate these Terms and Conditions or your rights and obligations hereunder without our prior written consent. CodeCraft may freely assign or transfer these terms and our rights and obligations without restriction. Any attempted assignment in violation of this section shall be null and void.

Modifications to Terms
